This is a fictional hypothetical scenario. It does not represent an actual client, a matter handled by the firm or a result.
Hypothetical · PRC JV articles and Company Law paths
01
Scenario & challenge
Story setup: A European industrial group and a Chinese partner run a manufacturing JV in Chengdu. Two board meetings in a row: the foreign side wants a capital call to expand; the Chinese side wants dividends first. Control of the legal-rep chop and bank tokens is also contested. The articles list director seats and “reserved matters,” but are fuzzy on how long a deadlock lasts, whether an interim manager can be appointed, and when share-transfer pre-emption triggers. HQ wants an options table readable in German/English: keep talking, call meetings under the articles, sue/arbitrate for exit or dissolution, and which tax/labour landmines go first. Nobody wants five words of “handle per law.”
02
Possible approach
Illustrative moves: (1) line-by-line read of articles and JV contract — voting thresholds, legal-rep powers, deadlock/exit clauses; (2) map current Company Law / FDI rules: what the articles can do vs what only statute allows; (3) timeline of board notices, votes, chop and account control; (4) options matrix — keep negotiating with written meeting rules, call/written resolutions under the articles, share transfer or capital reduction, arbitration/litigation under the dispute clause — each with preconditions and unknowns; (5) flag labour, tax, customs, and guarantee cross-risks if any. No promise to “break the deadlock” or force a capital call.
03
Limits & uncertainties
Stops when a governance map and options matrix reach the foreign decision-makers; no dissolution, exit, or settlement sum.
